Item 8.01 Other Events.

 

As previously disclosed, on May 7, 2024, Battery Future Acquisition Corp. (the “Company”) filed a definitive proxy statement on Schedule 14A (File No: 001-41158), as supplemented (“Proxy Statement”), for the purpose of calling an extraordinary general meeting of the Company’s shareholders (the “Meeting”) to approve, among other proposals, an amendment to and restatement of the Company’s Third Amended and Restated Memorandum and Articles of Association (the “Charter”) to extend the date by which it has to consummate an initial business combination from June 17, 2024 to June 17, 2025.

 

The Meeting was originally called to order on May 17, 2024 and thereafter adjourned to May 21, 2024 and again until May 24, 2024.  On May 24, 2024, the Company further adjourned the Meeting from May 24, 2024 at 4:00 p.m. to May 30, 2024 at 4:00 p.m. to allow additional time for the Company to engage with its shareholders and effectuate redemption reversals and/or enter into additional Non-Redemption Agreements.
